Dangote Refinery launches landmark N2.15trn IPO

Dangote Petroleum Refinery & Petrochemicals FZE has commenced its Initial Public Offering (IPO), opening a landmark opportunity for investors to acquire a stake in Africa’s largest refinery and one of the continent’s major industrial projects.

The public offer officially opened on September 14, 2026, at a ceremony held on the trading floor of the Nigerian Exchange (NGX) in Lagos.

The IPO comprises 4.1 billion new ordinary shares at N525 per share, with a minimum subscription of 10 shares valued at N5,250.

The offer is expected to close on October 13, 2026, subject to the terms and conditions contained in the Prospectus.

The transaction is targeted at retail and institutional investors as well as eligible African investors, with the company describing the offer as part of its commitment to broadening ownership and deepening participation in Nigeria’s capital market.

The IPO is expected to raise approximately N2.15 trillion, potentially making it one of the largest equity offerings in Africa. According to the company, proceeds from the offer will support its long-term growth plans, operational expansion, strategic investments and value creation for shareholders and other stakeholders.

Speaking on the significance of the IPO, President and Chief Executive of Dangote Industries Limited, Aliko Dangote, said the offer represented a new chapter for Dangote Refinery and Nigeria’s economic development.

“Today marks the beginning of a new chapter in the history of Dangote Refinery and, indeed, in the economic future of our nation.

This offering is about more than raising capital; it is about creating an opportunity for ordinary Nigerians, Africans, and investors across the globe to participate directly in one of the most transformative industrial projects ever built on the continent,” he said.

Dangote said the refinery was established to transform Africa’s energy landscape, create jobs, conserve foreign exchange and promote shared prosperity.

“With this IPO, we are extending that vision by democratising ownership and ensuring that millions of people can benefit from the value being created,” he added.

He said broad-based ownership could contribute to wealth creation, stronger capital markets and greater economic inclusion, while inviting investors to participate in the future growth of the enterprise.

Also speaking, Group Managing Director and Chief Executive Officer of Nigerian Exchange Group, Temi Popoola, described the IPO as an important development for Nigeria’s capital market.

He said the transaction was significant not only because of its size but also because it could provide Nigerians with an opportunity to participate in the value created by major Nigerian businesses.

“Our capital market must increasingly become a place where Nigerians can participate in the value created by our country’s most important businesses. That means broadening ownership, expanding access and creating stronger connections between Nigerian enterprise and Nigerian capital,” Popoola said.

According to him, NGX Group has been developing infrastructure to make public-market participation more accessible through NGX Invest and connectivity across more than 50 distribution channels, including stockbrokers, banks and fintechs.

“This is how we build an ownership economy: strong Nigerian businesses accessing long-term capital, and more Nigerians having the opportunity to participate in their growth,” he said.

Dangote Refinery has become a major component of Nigeria’s energy infrastructure, with its operations aimed at strengthening domestic refining capacity, reducing dependence on imported refined petroleum products and conserving foreign exchange.

The refinery also supplies petroleum products to domestic and international markets and is expected to contribute to industrial activity and economic development across Nigeria and the wider region.

The company said participation in the IPO has been designed to be accessible, transparent and technology-enabled.

Eligible investors can subscribe through approved distribution channels, including NGX Invest, designated commercial banks and authorised investment platforms, subject to the provisions of the Prospectus.

As the commencement ceremony takes place on the NGX trading floor in Lagos, Dangote Refinery reaffirmed its commitment to operational excellence, corporate governance, sustainable growth and long-term value creation for shareholders.
